**Terms and Conditions Agreement**

**Effective Date: January 1, 2024**

This Terms and Conditions Agreement (the "Agreement") is entered into by and between Just Call Me CEO Enterprises LLC dba JCMC Consulting, hereinafter referred to as "we," "us," or "our," and the client, hereinafter referred to as "you" or "your." This Agreement outlines the terms and conditions governing the use of our business management services.

**1. Services:**

We agree to provide business management services as specified in the mutually agreed-upon contract or proposal. The scope of services, deliverables, and timelines will be outlined in the relevant documents.

**2. Client Responsibilities:**

You agree to provide accurate and complete information necessary for the provision of business management services. Failure to do so may impact the effectiveness of our services.

**3. Fees and Payments:**

Fees for our services will be outlined in the contract or proposal. Payment terms and methods will also be specified. Failure to make timely payments may result in the suspension or termination of services.

**4. Confidentiality:**

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our business relationship. This obligation persists even after the termination of services.

**5. Intellectual Property:**

Unless otherwise agreed, any intellectual property created during the provision of services, including but not limited to documents, reports, or strategies, shall remain the property of JCMC Consulting.

**6. Termination:**

Either party may terminate this Agreement with written notice if the other party breaches any material term of this Agreement. In such a case, any outstanding fees shall become immediately due and payable.

**7. Limitation of Liability:**

To the maximum extent permitted by law, we shall not be liable for any indirect, consequential, or incidental damages arising out of or related to our services, even if advised of the possibility of such damages.

**8. Governing Law:**

This Agreement shall be governed by and construed in accordance with the laws of Baton Rouge, Louisiana. Any disputes arising under or in connection with this Agreement shall be resolved in the courts of East Baton Rouge Parish.

**9. Amendments:**

This Agreement may be amended only in writing and signed by both parties.

**10. Entire Agreement:**

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, understandings, or representations.

By engaging in our business management services, you acknowledge that you have read, understood, and agreed to the terms and conditions outlined in this Agreement.
